This End-User License Agreement ("EULA") is a legal agreement between you and Jens Kafitz dated from the time of purchase of Extension Pack for MARI.
This EULA agreement governs your acquisition and use of Extension Pack for MARI ("Software") directly from Jens Kafitz or indirectly through a Jens Kafitz authorized reseller or distributor (a "Reseller").
Please read this EULA agreement carefully before completing the installation process and using Extension Pack for MARI. It provides a license to use the Extension Pack for MARI and contains warranty information and liability disclaimers.
If you should use a free trial of Extension Pack for MARI , this EULA agreement will also govern that trial. By installing and/or using the Extension Pack for MARI software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software.
This EULA agreement shall apply only to the Software supplied by Jens Kafitz herewith regardless of whether other software is referred to or described herein. The terms also apply to any updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
Definitions
In this Agreement, terms shall have the meaning ascribed to them in this Section or elsewhere in this Agreement.
"Agreement" includes (i) these General Terms and Conditions, (ii) the Specific Terms and Conditions and (iii) the Third-Party Licenses which are incorporated hereto by reference.
"License" shall mean the limited right to Use the Software or the Copyrighted Assets as further detailed in these General Terms and Conditions and in the applicable Specific Terms and Conditions. Please find below the definition of available licenses:
"Site" defines a company, studio, building or campus within a single Postal Code Area
“Indie License” means a License to Use the Software granted to either
- (i) an individual, being or not a professional user, or a Legal entity, whether commercial or non-profit, with Revenue not exceeding 90.000 € during the prior fiscal year. Government entities may not subscribe to Indie Licenses.
"Freelancer License" means a License to the Software or the Copyrighted asset(s) granted
- (i) to a professional user or a commercial Legal Entity, whether commercial or non-profit, with annual Revenue between 90.000 € and 1,000,000 €;
- (ii) or to a commercial Legal Entity which is part of the Video game industry, VFX industry or a Government Agency, with annual Revenue between 90.000 € and 1,000,000 €; .
- For clarification purposes, any contractor working on behalf of the User shall subscribe to a Freelancer License if applicable, notwithstanding the contractor's own revenue.
"Small Business License" means a License to the Software or the Copyrighted asset(s) granted
- (i) a commercial Legal Entity, whether commercial or non-profit, with annual Revenue between up to 25.000.000 €;
"Site License" means a License to the Software or the Copyrighted asset(s) granted
- (i) to a professional user or a commercial Legal Entity
'Indie License' Grant
If you acquired A Indie License, Jens Kafitz hereby grants you a personal, non-transferable, non-exclusive licence to use the Extension Pack for MARI software on your devices in accordance with the terms of this EULA agreement
Indie licenses are granted to :
- (i) to a professional user or a commercial Legal Entity, whether commercial or non-profit, with annual Revenue between 90.000 € ;
You are permitted to load the Extension Pack for MARI software on a single machine per license (for example a PC, laptop, mobile or tablet) under your control.
You are responsible for ensuring your device meets the minimum requirements of Extension Pack for MARI.
You are permitted to..
edit, alter modify and adapt the source code for your own use provided the following conditions are met:
1. Source code must retain the original copyright notice
2. Binary forms must reproduce the above copyright notice, this list of conditions
and the following disclaimer in the documentation and/or other materials provided.
You are not permitted to...
1. Combine or incorporate parts or whole in any other other software excluding the intended use of the Software as an independent Plugin in MARI
2. decompile, disassemble or reverse engineer the Software or attempt to do any such things
3. Reproduce, copy, distribute, resell the Software
4. Allow any third party to use the Software on behalf of or for the benefit of any third party
5. Use the Software in any way which breaches any applicable local, national or international law
6. use the Software for any purpose that is a breach of this EULA agreement
7. Make a License Key available for download on the Internet
'Freelancer License' Grant
If you acquired A Freelance License, Jens Kafitz hereby grants you a personal, non-transferable, non-exclusive licence to use the Extension Pack for MARI software on your devices in accordance with the terms of this EULA agreement
Freelancer licenses are granted to :
- (i) to a professional user or a commercial Legal Entity, whether commercial or non-profit, with annual Revenue between 90.000 € and 1,000,000 €;
- (ii) or to a commercial Legal Entity which is part of the Video game industry, VFX industry or a Government Agency, with Revenue below 1,000,000 €.
- For clarification purposes, any contractor working on behalf of the User shall subscribe to a Pro License if applicable, notwithstanding the contractor's own revenue.
You are permitted to load the Extension Pack for MARI software on a single machine per license (for example a PC, laptop, mobile or tablet) under your control.
A Freelance License can be installed on multiple devices given that only one device accesses Extension Pack for MARI at the same time
You are responsible for ensuring your device meets the minimum requirements of Extension Pack for MARI.
You are permitted to..
edit, alter modify and adapt the source code for your own use provided the following conditions are met:
1. Source code must retain the original copyright notice
2. Binary forms must reproduce the above copyright notice, this list of conditions
and the following disclaimer in the documentation and/or other materials provided.
You are not permitted to...
1. Combine or incorporate parts or whole in any other other software excluding the intended use of the Software as an independent Plugin in MARI
2. decompile, disassemble or reverse engineer the Software or attempt to do any such things
3. Reproduce, copy, distribute, resell the Software
4. Allow any third party to use the Software on behalf of or for the benefit of any third party
5. Use the Software in any way which breaches any applicable local, national or international law
6. use the Software for any purpose that is a breach of this EULA agreement
7. Make a License Key available for download on the Internet
'Small Business' License Grant
If you acquired A Small Business License, Jens Kafitz hereby grants you a personal, non-transferable, non-exclusive licence to use the Extension Pack for MARI software on your devices in accordance with the terms of this EULA agreement
Small Business licenses are granted to :
- (i) to a professional user or a commercial Legal Entity, whether commercial or non-profit, with annual Revenue below 25,000,000 €;
- (ii) or to a commercial Legal Entity which is part of the Video game industry, VFX industry or a Government Agency, with Revenue below 25,000,000 €.
You are permitted to load the Extension Pack for MARI software on up to 10 machines per license (for example PC, laptop, mobile or tablet) under your control.
You are responsible for ensuring your device meets the minimum requirements of Extension Pack for MARI.
You are permitted to..
edit, alter modify and adapt the source code for your own use provided the following conditions are met:
1. Source code must retain the original copyright notice
2. Binary forms must reproduce the above copyright notice, this list of conditions
and the following disclaimer in the documentation and/or other materials provided.
You are not permitted to...
1. Combine or incorporate parts or whole in any other other software excluding the intended use of the Software as an independent Plugin in MARI
2. decompile, disassemble or reverse engineer the Software or attempt to do any such things
3. Reproduce, copy, distribute, resell the Software
4. Allow any third party to use the Software on behalf of or for the benefit of any third party
5. Use the Software in any way which breaches any applicable local, national or international law
6. use the Software for any purpose that is a breach of this EULA agreement
7. Make a License Key available for download on the Internet
'Local Site License' Grant
If you acquired a Local Site License, Jens Kafitz hereby grants you unlimited use of the Extension Pack for MARI software on your devices in accordance with the terms of this EULA agreement.
The software can be placed on a server accessible by unlimited numbers of users on site.
A site is defined as a company, studio, building or campus within a single Postal Code Area.
You are responsible for ensuring your devices meets the minimum requirements of Extension Pack for MARI.
You are permitted to..
edit, alter modify and adapt the source code for your own use provided the following conditions are met:
1. Source code must retain the original copyright notice
2. Binary forms must reproduce the above copyright notice, this list of conditions
and the following disclaimer in the documentation and/or other materials provided.
You are not permitted to...
1. Combine or incorporate parts or whole in any other other software excluding the intended use of the Software as an indepedent Plugin in MARI
2. decompile, disassemble or reverse engineer the Software or attempt to do any such things
3. Reproduce, copy, distribute, resell the Software
4. Allow any third party to use the Software on behalf of or for the benefit of any third party
5. Use the Software in any way which breaches any applicable local, national or international law
6. use the Software for any purpose is a breach of this EULA agreement
7. Make a License Key available for download on the Internet
'Worldwide Site License' Grant
If you acquired a Worldwide Site License, Jens Kafitz hereby grants you unlimited use of the Extension Pack for MARI software on your devices in accordance with the terms of this EULA agreement.
The software can be placed on a server accessible by unlimited numbers of users within your Company.
A site is defined as a company or studio and can include satellite studios anywhere in the world.
You are responsible for ensuring your devices meets the minimum requirements of Extension Pack for MARI.
You are permitted to..
edit, alter modify and adapt the source code for your own use provided the following conditions are met:
1. Source code must retain the original copyright notice
2. Binary forms must reproduce the above copyright notice, this list of conditions
and the following disclaimer in the documentation and/or other materials provided.
You are not permitted to...
1. Combine or incorporate parts or whole in any other other software excluding the intended use of the Software as an indepedent Plugin in MARI
2. decompile, disassemble or reverse engineer the Software or attempt to do any such things
3. Reproduce, copy, distribute, resell the Software
4. Allow any third party to use the Software on behalf of or for the benefit of any third party
5. Use the Software in any way which breaches any applicable local, national or international law
6. use the Software for any purpose is a breach of this EULA agreement
7. Make a License Key available for download on the Internet
Intellectual Property and Ownership
Jens Kafitz shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you.
The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Jens Kafitz.
Jens Kafitz reserves the right to grant licences to use the Software to third parties.
Warranty
This Software Is Provided By The Copyright Holders And Contributors "as Is" and Any Express Or Implied
Warranties, Including, But Not Limited To, The implied Warranties Of Merchantability And Fitness For
A Particular Purpose are Disclaimed. In No Event Shall The Copyright Holder Or Contributors Be liable
For Any Direct, Indirect, Incidental, Special, Exemplary, Or consequential Damages (including, But Not
Limited To, Procurement Of substitute Goods Or Services; Loss Of Use, Data, Or Profits; Or Business
interruption) However Caused And On Any Theory Of Liability, Whether In contract, Strict Liability,
Or Tort (including Negligence Or Otherwise) arising In Any Way Out Of The Use Of This Software, Even If
Advised Of the possibility Of Such Damage.
Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated.
It will also terminate immediately if you fail to comply with any material of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
Notification and reasons for a license termination (type of EULA violation) may or may not be given via the purchase email address, depending on the severity of the violation.
In case of software piracy of enabling software piracy, license termination will be instant.
Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Belgium.
Future Changes to EULA
Any proposed changes to the terms of this EULA will be presented to the other party at least forty-five (45) days prior to the proposed effective date of such amendment.
In no event shall Jens Kafitz require you to agree to an amendment as a condition of using the version of Extension Pack for MARI you already purchased.
